ILH~OS Seven-Day Trial and Service Terms

1. Agreement

These terms govern access to the ILH~OS seven-day trial and related software services provided by PEARLZZ LIMITED. By creating an account, accepting these terms, or using ILH~OS, the account holder represents that they have authority to act for the named business or housing operator.

2. Seven-Day Trial

• The trial begins upon the account?s first successful login, not merely when the registration form is submitted.
• The trial continues for seven consecutive calendar days from that first successful login.
• Unless PEARLZZ LIMITED authorizes otherwise in writing, only one trial is permitted for a business, operator, physical site, or substantially identical account.
• The trial is provided for evaluation and lawful business use.
• Continued access after the trial requires an applicable paid license or other written authorization.

3. Single-Site License

Each ILH~OS license applies to one purchasing organization?s identified physical ILH site or property. A license may not be used to operate unrelated sites or transferred to another organization or address without written approval from PEARLZZ LIMITED.

4. Authorized Users

The site?s Owner or Administrator controls staff access and role assignments. The account holder is responsible for ensuring that each user is authorized, uses individual credentials when required, receives only appropriate permissions, and loses access promptly when authorization ends.

5. Acceptable Use

Users may not use ILH~OS unlawfully; access another person?s account without authorization; bypass security or license controls; introduce malicious code; interfere with system operation; copy, resell, sublicense, reverse engineer, or create unauthorized derivative products from protected software except where applicable law expressly permits; or use participant data for unauthorized advertising or exploitation.

6. Operator Records and Responsibilities

The operator controls the participant and housing-program information entered by its personnel. The operator is responsible for lawful data collection, notices, consent, record accuracy, staff training, role assignments, retention, disclosures, and compliance with applicable housing, funding, privacy, employment, and program requirements.

7. Privacy and Security

Use of ILH~OS is also governed by the ILH~OS Privacy Policy. Users must protect credentials and promptly report suspected unauthorized access. No software or transmission method can guarantee absolute security.

8. Payment, Refund Requests, and Continued Access

Pricing, payment timing, renewal, taxes, and purchased services are governed by the applicable order, invoice, payment page, written proposal, or Master License Agreement. ILH~OS will not impose an undisclosed automatic-renewal obligation solely through these trial terms.

The seven-day trial does not require a trial fee, so there is no trial payment to refund. Requests concerning a payment made for continued or paid service must be submitted to admin@thepearlzz.com. Include the purchaser?s name, licensed site, payment date, amount, and reason for the request. Refund eligibility will be reviewed under the applicable order, invoice, signed agreement, and governing law. See the ILH~OS Refund Policy for request instructions. Nothing in these terms limits any non-waivable legal right.

9. Suspension and Trial Expiration

Access may be suspended or restricted when the trial expires without payment, payment is past due, use creates a security or legal risk, account information is materially false, or these terms are violated. Suspension does not necessarily mean that stored data is immediately deleted.

10. Availability and Changes

PEARLZZ LIMITED may maintain, update, secure, or modify ILH~OS. Trial features may change and may not represent every feature or service included in a paid deployment. Scheduled or emergency maintenance may temporarily affect availability.

11. Intellectual Property

ILH~OS, the NILP framework, software, workflows, documentation, branding, and related materials remain the property of their respective owner or licensor. The trial provides a limited, revocable, nonexclusive, nontransferable right to evaluate ILH~OS for the licensed site.

12. No Professional Advice

ILH~OS supports documentation and operations. It does not provide legal, medical, accounting, clinical, licensing, regulatory, or funding advice. Operators remain responsible for professional judgment and required review.

13. Disclaimer

To the extent permitted by law, the trial is provided ?as is? and ?as available,? without warranties not expressly stated in a signed agreement. PEARLZZ LIMITED does not guarantee uninterrupted operation or that use alone will satisfy every regulatory, contractual, funding, or program requirement.

14. Limitation of Liability

To the extent permitted by law, PEARLZZ LIMITED will not be liable under these trial terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, or loss caused by unauthorized credentials, operator decisions, or information entered by users. Any different limitation in a signed agreement controls.

15. Termination

The user may stop using the trial at any time. PEARLZZ LIMITED may terminate or suspend trial access for material breach, unlawful use, fraud, security threats, or expiration. Rights concerning paid service termination and data handling are governed by the applicable signed agreement and Privacy Policy.

16. Governing Law

These terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where applicable law requires otherwise. Venue will lie in an Ohio court with lawful jurisdiction unless a signed agreement provides a different dispute procedure.

17. Relationship to Other Agreements

An executed Master License Agreement, order, proposal, business-associate agreement, or other signed writing may provide additional or different terms. If there is a direct conflict, the signed writing controls for the subject it addresses.
